Terms of Use

These Terms of Use ("Terms") govern your access to and use of the QHUB Governance Ledger service, APIs, documentation, and quantex-tech.com website (collectively, the "Service") provided by Quantex Technologies, Inc. ("Quantex," "we," "our," or "us"). These Terms constitute a legally binding agreement between you and Quantex. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

QHUB is a hash-chained, WORM-backed governance ledger for AI systems. The Service enables clients to:

• Submit AI governance events (classifications, exceptions, deployments, and related records) to a tamper-evident, append-only ledger via the Ingest API
• Retrieve and audit chain history via the Reader API
• Access the Governance Console dashboard for chain inspection and audit export
• Receive nightly automated chain integrity verification

The Service is a business-to-business (B2B) platform intended for use by companies and organizations.

To access the Service, you must have a valid client account and HMAC credentials issued by Quantex. You are responsible for:

• Maintaining the confidentiality of your HMAC secret key and all other credentials
• All activity that occurs under your account or using your credentials
• Promptly notifying Quantex at carlos@quantex-tech.com if you believe your credentials have been compromised

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Submit false, fabricated, or misleading governance events to the ledger
• Attempt to circumvent, reverse-engineer, or tamper with the WORM storage or hash chain integrity mechanisms
• Use the Service to store, transmit, or process any data in violation of applicable law
• Attempt to gain unauthorized access to any part of the Service or other clients' data
• Use the Service in any manner that could damage, disable, or impair the Service
• Engage in any automated scraping or data extraction outside of the authorized APIs
• Resell or sublicense the Service without Quantex's prior written consent

THE QHUB SERVICE USES AWS S3 OBJECT LOCK IN COMPLIANCE MODE. ONCE AN EVENT IS SUCCESSFULLY SUBMITTED TO THE INGEST API AND CONFIRMED:

• The event is permanently recorded and CANNOT be deleted, modified, or retracted by Quantex, by AWS, or by you for the applicable retention period (default: 7 years)
• Quantex does not provide a mechanism to delete, amend, or reverse individual events — this is by design and is the core integrity property of the Service
• You are solely responsible for the accuracy and completeness of events you submit

Notice: Do not submit test events, draft events, or events containing sensitive personal data to a production WORM ledger. Confirm sandbox availability before production onboarding.

Your Data

You retain ownership of all governance event data and other content you submit to the Service ("Client Data"). By submitting Client Data, you grant Quantex a limited, non-exclusive license to process, store, and transmit Client Data solely as necessary to provide the Service. Quantex does not use Client Data for any other purpose and does not sell or license Client Data to third parties.

Quantex Intellectual Property

All rights, title, and interest in and to the Service — including all software, algorithms, documentation, APIs, and trademarks — are and remain the exclusive property of Quantex. These Terms do not grant you any right or interest in the Service except for the limited right to use it in accordance with these Terms.

Upon termination of your service agreement, Quantex will provide a full export of your chain data in JSON format within thirty (30) days. After delivery of the export, Quantex's operational access to your WORM storage bucket will be revoked. Your event data will remain in WORM storage until the Object Lock retention period expires, regardless of the commercial relationship.

Your use of the Service is subject to the fees set forth in your Master Service Agreement or order form. All fees are payable in U.S. dollars. Quantex reserves the right to suspend access for non-payment after reasonable notice. Fees paid are non-refundable except as expressly set forth in your service agreement or as required by law.

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly known, was rightfully known before disclosure, is independently developed, or is required to be disclosed by law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, QUANTEX DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. QUANTEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER THE SERVICE MEETS YOUR COMPLIANCE OBLIGATIONS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUANTEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. QUANTEX'S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Quantex and its officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of applicable law; (c) any claim that Client Data submitted by you infringes any third-party right; or (d) your breach of any representation in these Terms.

These Terms remain in effect while you use the Service. Your right to use the Service terminates upon termination of your Master Service Agreement or if Quantex terminates your access for breach after reasonable notice. Sections 5, 6, 7, 9, 10, 11, 12, and 15 survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute shall be resolved in the state or federal courts located in Nassau County or New York County, New York.

Quantex reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' prior written notice of material changes. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
